These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and TALKPOINT LTD, doing business as Tipi ("Company," "we," "us," or "our"), concerning your access to and use of the Tipi mobile application and any related media form, channel, mobile website, or related, linked, or otherwise connected thereto (collectively, the "Services").
We are registered in Israel and have our registered office at Hanatsiv 6, Haifa 2638332, Israel.
The Services provide an ephemeral, location-based chat platform allowing users to communicate with others nearby.
By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Privacy Policy: Please review our Privacy Policy, which is incorporated into these Terms. By using the Services, you also consent to our Privacy Policy.
Changes: We reserve the right to change these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date above and conducting an in-app notification (e.g., a pop-up). Your continued use of the Services after such changes indicates your acceptance of the new Terms.
You must be at least 13 years old to use Tipi.
Age Verification: During signup, you will be asked to provide your date of birth. Providing false age information is a violation of these Terms and may result in account termination.
Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
By using the Services, you represent and warrant that:
Our Services allow you to create, submit, and post content, including text, photos, audio, and video ("Contributions") in chat rooms.
Ownership & Responsibility: You retain full ownership of your Contributions. However, you are solely responsible for your Contributions and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.
License to Tipi: By posting Contributions, you grant us a worldwide, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, and transmit your Contributions solely for the purpose of operating, developing, and providing the Services (e.g., ensuring messages are delivered to other users). This license terminates when your content is deleted from our systems (subject to ephemeral deletion policies and backups).
License to Other Users: You grant other users of the Services the right to access and view your Contributions within the App as permitted by the functionality of the Services.

User Termination: You may terminate your agreement to these Terms at any time by deleting your account in the App settings and discontinuing use of the Services.
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE ASSUME NO LIABILITY FOR ANY (1) ERRORS OR INACCURACIES OF CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICES, OR (3) LOSS OF DATA (INCLUDING EPHEMERAL MESSAGES).
User Interactions: We are not responsible for the actions or content of any user. You understand that we do not conduct background checks on users. Use caution in all interactions with other users, especially if you decide to meet in person.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $100 USD.
Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, as well as Apple Inc. and Google LLC, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (1) your Contributions; (2) your use of the Services; (3) your breach of these Terms; or (4) your violation of the rights of a third party.
These Terms shall be governed by and defined following the laws of the State of Israel, without regard to its conflict of law principles.

Binding Arbitration: Any dispute arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration.
Class Action Waiver: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Disputes concerning intellectual property rights, theft, piracy, or unauthorized use of data, or claims for injunctive relief, are not subject to arbitration and may be brought in the competent courts of Haifa, Israel.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and us regarding your use of the Services. These Terms supersede any prior agreements, understandings, or arrangements between you and us, whether oral or written.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
